Looks like the FTC initial findings were that this would be block due to a monopoly lock on the market. I think a good thing.

Having done business with Cabela's for years (as well as being an outdoor retailer myself) we have watched the quality of inventory and service degrade at Cabela's stores nation wide. Also, since being purchased by Bass Pro, Cabela's no longer allows travelers to over nite in their store's parking lots. We have stayed in the Mitchel, SD Cabela's lot for more years than we can remember and always spent money in the store. That came to an end during our Spring 2021 prairie dog trip; Couldn't believe it.  We are done with Cabela's/Bass Pro!

In other words, there was not a large enough payoff.

I can't speak to payoffs, but I can say that I know such mergers are extremely complicated from a regulatory compliance perspective.

My sister was the lead attorney on the merger of two major companies.  The total deal was about 2.5 Billion and the resultant company was a 20 billion a year company.  She told me the amount of paper to print the filings, briefs, opinions, responses, etc involved in gaining FTC approval was measured in semi-truck loads.

It?s interesting that here in WV Sportsman?s Warehouse has a store in Morgantown and in early 2021 Cabelas/Bass Pro started building a small store about 5 miles away.   It?s now complete and I guess a direct competitor.

Sportsman's Warehouse is the best outdoor stores in the Rocky Mtn  West.  I am an old guy who continues to buy arms and ammo.  The employees of the Rock Springs store and the Nothern Utah outlets are great.  So nice to hear they are not part of the Cabela's mess.
